<br />) , <br /> <br />on December 3, 1987, case number 87-08057, alleging a violation <br /> <br />of civil rights. <br /> <br />City filed a complaint in the Superior Court, <br /> <br />County of Orange, on March l5, 1988, case number 551617, entitled <br /> <br />City of Santa Ana v. Group W Cable, Inc., alleging causes of <br /> <br />action arising out of a contract dispute. <br /> <br />COMCAST and City <br /> <br />intend to and does hereby compromise and settle the above lawsuits <br />by the amendments to franchise agreement hereinabove set forth <br />and the covenants hereinafter set forth. <br /> <br />a. <br /> <br />Upon execution of this agreement, COMCAST shall pay <br /> <br />City the sum of Six Hundred Three Thousand Nine Hundred Thirty- <br /> <br />Four Dollars ($603,934) which shall not be included as any part <br /> <br />of the franchise fee to which Grantor is entitled under the <br /> <br />franchise agreement. <br /> <br />b. <br /> <br />section 1300 of the Charter of the City of Santa Ana <br /> <br />provides in part: <br /> <br />"No grant of any franchise may be transferred or <br /> <br />assigned by the grantee except by consent in writing <br /> <br />of the City Council and unless the transferee or <br /> <br />designee thereof shall covenant and agree to perform <br /> <br />and be bound by each and all of the terms and con- <br /> <br />ditions imposed in the grant or by procedural ordi- <br /> <br />nance and by this Charter." <br /> <br />c. <br /> <br />COMCAST, as the transferee of the franchise issued <br /> <br />to Group W Cable, Inc., by the City of Santa Ana on June 21, <br /> <br />1982, hereby covenants and agrees to be bound by each and all <br /> <br />of the terms and conditions of the franchise agreement, as <br /> <br />heretofore and hereby amended. <br /> <br />d. <br /> <br />Upon execution of this agreement, the City Council <br /> <br />-l5- <br />
