<br />entitled." <br /> <br />7. <br /> <br />Subsection 7.6 of said agreement is hereby amended to <br /> <br />read as follows: <br /> <br />"7.6 Public Access Assistance <br /> <br />"Grantee shall in good faith attempt to reach reasonable <br /> <br />agreements with Rancho Santiago Community College for the <br /> <br />provision of public access production during the term of the <br /> <br />franchise agreement. <br /> <br />Grantee agrees that the Second Amend- <br /> <br />ment to this Agreement, section 7.l, dated September 28, 1984, <br /> <br />included, in part, a grant used for public access that was <br /> <br />exclusive of franchise fees in conformance with the grand- <br /> <br />fathering provisions of the Cable Communications Policy Act of <br /> <br />1984, and it is the intent of the parties that said grand- <br /> <br />fathering provisions continue to be applicable in this Amend- <br /> <br />ment to Agreement. <br /> <br />In the event that Grantee and Rancho Santiago Community <br /> <br />College are unable to reach, in good faith, a reasonable agree- <br /> <br />ment for public access production, then Grantee shall provide <br /> <br />such public access support as provided in that Agreement dated <br /> <br /> <br />March~, 1989 between Grantee and Rancho Santiago <br /> <br />Community College to any other entity mutually agreeable to <br /> <br />Grantor and Grantee during the term of this Agreement. <br /> <br />8. <br /> <br />Subsection 7.7 is hereby added to said agreement to <br /> <br />read as follows: <br /> <br />"7.7 Local Programming Letter of Credit <br /> <br />"Grantee shall provide to Grantor an irrevocable and <br /> <br />unconditional letter of credit in the amount of Nine Hundred <br /> <br />-9- <br />
