<br />4.2 The City reserves the right to modify any and all aspects of the selection <br />process, and waive any defects as to form or content of the Bidder's <br />proposals. <br /> <br />4.3 The City reserves the right to accept or reject any and all responses received <br />as a result of this request, and to cancel in part or in its entirety this Request <br />for Proposals. If all proposals are rejected, the City shall not be barred from <br />re-soliciting. <br /> <br />4.4 The City reserves the right to amend this Request for Proposals by <br />addendum prior to the final dates of submission. The response to this RFP <br />for the selected contractor will become part of the contract as an attachment <br />or exhibit. <br /> <br />4.5 All reports, proposals, or other data or materials, which are submitted, shall <br />become the sole property of the City of Santa Ana with the exception of the <br />Confidential Financial Capacity information. <br /> <br />4.6 All non-confidential products used or developed in the execution of any <br />contract resulting from this request will remain in the public domain at the <br />completion of this project. The final work product and any information, <br />materials or documents provided to contractor by any agency shall remain <br />strictly confidential and the property of the City of Santa Ana. <br /> <br />4.7 The attached "Certification of Non-Discrimination by Contractors" shall be <br />completed by each submitting firm and included in the proposal (Attachment <br />liB"). <br /> <br />4.8 A "Sample Certificate of Insurance" is enclosed for your reference <br />(Attachment "C"). With respect to performance of work under this Contract, <br />the Vendor shall maintain and shall require its subcontractors, if any, to <br />maintain insurance as described below: <br /> <br />4.9 Worker's Compensation insurance with statutory limits, any employer's <br />liability insurance with limits not less than $1,000,000 per accident. <br /> <br />4.10 Commercial general liability insurance, or equivalent form, with a combined <br />single limit of not less than $1,000,000 per occurrence. If such insurance <br />contains a general aggregate limit, such limit shall apply separately to each <br />project the Team performs for the City of Santa Ana. Such insurance shall (a) <br />name the City of Santa Ana, its officers, agents, representatives, volunteers <br />and employees as additional insureds; (b) be primary with respect to <br />insurance or self-insurance programs maintained by the City of Santa Ana; <br />and (c) contain standard separation of insureds provisions; and (d) give to the <br /> <br />Page 23 of 51 <br />
