<br />Exhibit A: Statement of Work <br /> <br />l. . Subsystem operation will be suspended, the problem is considered "major," and immediately <br />- diagnosed and corrected. After installation of the appropriate corrections, the test period will <br />resume, logging the time since Positron was notified of the failure as downtime, or <br /> <br />. Subsystem operation will continue, the problem will be logged and then corrected, tested and <br />demonstrated during the reliability test period. In this case, the problem is documented as a <br />"minor" system problem, the subsystem not removed from on-line operation, and the subsystem is <br />not considered down. <br /> <br />\..: <br /> <br />No software, related subsystem changes or enhancements shall be made to any subsystem undergoing <br />subsystem certification unless they are directly related to addressing a "major" failure. <br /> <br />The Reliability Testing process can be temporarily suspended upon agreement between Santa Ana and <br />Positron for scheduled changes, software corrections or upgrades. In this event, the test period will <br />resume when the subsystem is again operational, without logging downtime. <br /> <br />During the test period, Positron will develop a list of "minor" subsystem problems as described above. This <br />list will be completed and delivered to Santa Ana within five (5) business days following the completion of <br />the subsystem certification phase. These items, plus any others that are found as the subsystem moves <br />into full production operation, will be addressed and corrected in a timely manner (according to an agreed- <br />to schedule) during this period of operation or as part of the warranty period. The resolution of "minor" <br />subsystem problems will not delay the completion of this task. Any further subsystem problem or <br />inconsistency with the functional requirements will be addressed under the provisions of the warranty. <br /> <br />When Positron has corrected and demonstrated all significant functional and operational errors and areas <br />of non-rompliance that have been identified on the action item list during the test period, the individual <br />subsystems will be accepted and made available for continuing productive use. Any additional problems or <br />areas of non-compliance identified following this reliability testing period, including those related to any <br />subsystems or ancillary systems that have not yet been placed in productive operation, will not prevent <br />subsystem certification and will be addressed as part of the standard software warranty. <br /> <br />Responsibilities: <br /> <br />Positron shall: <br /> <br />a. Identify a point of contact for logging system interruptions that is available 24/7 during the reliability <br />testing period. Develop and complete a list of "minor" subsystem problems for delivery to Santa <br />Ana within five (5) business days following the completion of Reliability Testing. <br /> <br />b. Address and/or correct the "minor" subsystem problems either during this periOd or as a part of <br />the warranty period. <br /> <br />Santa Ana shall: <br /> <br />a. Utilize and monitor the CAD subsystem in a production environment. <br /> <br />b. Prepare the site as necessary (i.e., ensure communication lines are installed and available, any <br />Santa Ana-provided equipment and external systems are operational, etc.). <br /> <br />c. Log all functional problems on an "action item list." <br /> <br />d. Contact Positron personnel in a timely manner in the event of subsystem problems or failures. <br /> <br />e. Begin subsystem monitoring in support of the warranty period. <br /> <br /> <br />Completion Criteria: <br />'- This task is considered complete after CAD has demonstrated critical system availability levels during the <br /> <br />25 <br />
