Exhibit A: Statement of Work <br />responsibility of Abbey Group (communication lines, external databases, etc.). Also, the reliability test and <br />subsystem certification will not be delayed if any user-provided peripheral components encounter a failure <br />or have not been made available for implementation and testing according to the project schedule. <br />Scheduled subsystem unavailability for purposes of software update, pertormance tuning, file backups and <br />other processes typical in a production environment is not considered as downtime. <br />In the event that the subsystem is considered to be "down" during this test period, one of the following will <br />occur: <br />• Subsystem operation will be suspended, the problem is considered "major," and immediately <br />diagnosed and corrected. After installation of the appropriate corrections, the test period will <br />resume, logging the time since Abbey Group was notified of the failure as downtime, or <br />• Subsystem operation will continue, the problem will be logged and then corrected, tested and <br />demonstrated during the reliability test period. In this case, the problem is documented as a <br />"minor" system problem, the subsystem not removed from on-line operation, and the subsystem is <br />not considered down. <br />No software, related subsystem changes or enhancements shall be made to any subsystem undergoing <br />subsystem certification unless they are directly related to addressing a "major" failure. <br />The Reliability Testing process can be temporarily suspended upon agreement between Santa Ana and <br />Abbey Group for scheduled changes, software corrections or upgrades. In this event, the test period will <br />resume when the subsystem is again operational, without logging downtime. <br />During the test period, Abbey Group will develop a list of "minor" subsystem problems as described above <br />This list will be completed and delivered to Santa Ana within five (5) business days following the <br />completion of the subsystem certification phase. These items, plus any others that are found as the <br />subsystem moves into full production operation, will be addressed and corrected in a timely manner <br />(according to an agreed-to schedule) during this period of operation or as part of the warranty period. The <br />resolution of "minor" subsystem problems will not delay the completion of this task. Any further subsystem <br />problem or inconsistency with the functional requirements will be addressed under the provisions of the <br />warranty. <br />When Abbey Group has corrected and demonstrated all significant functional and operational errors and <br />areas of non-compliance that have been identified on the action item list during the test period, the <br />individual subsystems will be accepted and made available for continuing productive use. Any additional <br />problems or areas of non-compliance identified following this reliability testing period, including those <br />related to any subsystems or ancillary systems that have not yet been placed in productive operation, will <br />not prevent subsystem certification and will be addressed as part of the standard software warranty. <br />Responsibilities <br />Abbey Group shall: <br />Identify a point of contact for logging system interruptions that is available 24/7 during the reliability <br />testing period. Develop and complete a list of "minor" subsystem problems for delivery to Santa <br />Ana within five (5) business days following the completion of Reliability Testing. <br />Address and/or correct the "minor' subsystem problems either during this period or as a part of <br />the warranty period. <br />Santa Ana shall: <br />a. Utilize and monitor the JCMS subsystem in a production environment. <br />b. Prepare the site as necessary (i.e., ensure communication lines are installed and available, any <br />Santa Ana-provided equipment and external systems are operational, etc.). <br />18 <br />
