General. Upon completion of a deliverable, City shall have the right to review the Deliverables to be <br />provided by Lawson to City under this SOW, pursuant to the methodology set forth in this Section. <br />(b) b. Acceptance Testing. Following Lawson's notification to City that Lawson has completed a <br />Deliverable identified in this Statement of Work, City shall have a period of ten (10) business days or as <br />mutually agreed upon by both parties from such notification (the "Acceptance Period ") to determine whether <br />such Deliverable conforms to the applicable documentation as described in the Statement of Work (the <br />"Acceptance Criteria "). If City's Project Manager has not notified Lawson within a five (5) business day period, <br />then Lawson's Project Manager will provide City's Project Manager with an additional notice requesting <br />approval of the Deliverable. City will have an additional five (5) business day period to provide Lawson with <br />notice of its acceptance or rejection of such Deliverable. If City fails to provide written notice of any deficiencies <br />within the five (5) day period, the Lawson will provide City with an additional notice specifying reasonable <br />additional costs that will be required due to the City's delay in providing the notice. <br />If the Deliverable does not conform to the Acceptance Criteria, City's Project Manager shall, within the <br />Acceptance Period, give Lawson's Project Manager written notice that specifies the deficiencies in detail. <br />Lawson shall use reasonable efforts to promptly cure any such deficiencies. After completing such cure, <br />Lawson shall resubmit the Deliverable for City's review and testing as set forth above. This process may be <br />conducted no more than two (2) times. If acceptance of a Deliverable has not occurred after two (2) attempts, <br />either party may elect to use the dispute resolution process described in the Lawson Customer Agreement to <br />resolve the dispute or the parties may agree that Lawson will create a mutually acceptable plan to cure such <br />deficiency. <br />(c) Upon accepting any deliverable submitted by Lawson, City's Project Manager shall provide Lawson's <br />Project Manager with written acceptance of such Deliverable within the Acceptance Period. If City fails to <br />provide written notice of any deficiencies within the Acceptance Period, then Lawson will provide City with an <br />additional notice specifying reasonable additional costs that will be required due to the City's delay in providing <br />the notice. <br />SOW- SantaAna- 12Feb08 vFina1_v2.doc Confidential 18 <br />
