SU BRECI R ENT agrees that the performance of obligations hereunder are rendered i n its capaa ty as an i ndependent contractor and that it i s i n no way an agency Of CITY. P. Violation of Terms and Conditions SUBRECI R ENT agrees that if SU BRECI RENT violates any of the terms and conditions of this Agreement or any prior Agreement whereby ESG funds were received by SUBRECIRENT, or if SUBRECIRENT reports inaccurately, or if on audit there is a disal I owance of certain expenditures, SU BRECI RENT agrees to remedy the acts or omissi ons can ng the d sal I awance and repay CITY al I a mints spent i n violation thereof. If SUBRECI R ENT engaged in fraudulent activity to obtain and/or justify expendi ture of the ESG funds granted hereunder, SU BRECI R ENT shal I be requi red to rei mburse the Cl TY of al I such funds that were obtai ned/spent under fraadul ent ci rcumstanees Q. Equi prnent. SU BRECI R ENT agrees to mai nta n a record for each item of non - expandable personal property acquired under the terms of this Agreement in accordance with 24 CFR 85.32. Sai d record shat I be made ava table to CITY upon request. The term "non -expendable personal property" shal I i nd ude leased and purchased equi pment. R. Prohi bited Um SU BRECI R ENT hereby certifi es and agrees that it wi I I not use funds provided through this Agreerrient to pay for entertainment, meals or gifts S. Lobbying_. SUBRECI RENT certifies that it will comply with federal law (31 U.S.C. 1352) and regulations found at 24 CFR Part 87, which provide that no appropriated funds may be expended by the red pent of a federal contract, grant, loan or cooperative agreement to pay any person for i nfl uenci ng or attempti ng to i nfl uenoe an officer or employee of any agency, M ember of Congress, or an officer or employee of a Member of Congress in connection with awarding of any federal contract, the maki ng of any federal grant or I oan, enteri ng i nto any cooperati ve agreement and the extension, renewal, amendment or modification of any federal contract, grant, loan or cooperative agreement. SUBRECIRENT shall sign a certification to that effect in a form as set forth i n "Exhi bi t C," attached hereto and by this reference i noorporated herei n. SU BRECI R ENT shat I submit said signed certifi cati on to CI TY prior to performi ng any of its obl i gati ons under this Agreement and prior to any obligation arising on the part of CITY to pay any sums to SU BRECI RENT under the terms and condi ti ons of this Agreerrnent. I f any funds other than Federal appropri aced funds have been paid or wi I I be paid to any person for i of I uenci ng or attempti ng to i of I uenoe an offi oar or ennpl oyee of any agency, a Member of Congress, an officer or employee of Congress, or an employee of a Member of Congress i n oonnecti on with this Federal contract, grant, I oan, or cooperative agreement, the undersi geed shat I complete and submit a "Disclosure Form to Report Lobbying," in accordance with its i nstructi ons (see G1). 14
