aM070ROLA SOLUTIONS QUOTE-3014423 <br />Motorola Deliverables <br />• Project Kickoff Meeting Agenda. <br />Project Kickoff (if applicable) <br />Motorola will work with the Customer to understand the impact of introducing a new solution and the <br />preparedness needed for a successful implementation. <br />Note — The Detail Design Review (DDR), if applicable, is completed during the pre -sales process and normally <br />completed prior to Contract award. Delay in the DDR review may impact the project schedule. Motorola will not be <br />responsible for additional costs or delays incurred for Customer requested changes to the DDR. <br />Motorola Responsibilities <br />• Review Contract documents including project delivery requirements as described in this SOW. <br />• Discuss the deployment start date and deliver the Deployment Checklist. <br />• Discuss Mobile LPR equipment installation activities and responsibilities. <br />• Discuss Fixed LPR installation activities and responsibilities. <br />• Discuss project team participants and their role(s) in the project with fulfilling the obligations of this SOW. <br />• Review resource and scheduling requirements. <br />• Review the DDR, arranging for additional meeting for review as needed <br />• Review the Credentials Form <br />• Discuss Motorola remote system access requirements (24-hour access to a secured two-way Internet <br />connection through the Customer's firewall for the purpose of deployment and maintenance). <br />• Complete all necessary documentation (i.e. fingerprints, background checks, card keys, etc.) required for <br />Motorola resources to gain access to Customer facilities. <br />• Discuss the Training Plan. <br />• Review and agree on completion criteria and the process for transitioning to support. <br />Customer Responsibilities <br />• Provide feedback on project delivery requirements. <br />• Review the Deployment Checklist. <br />• Review the roles of project participants to identify decision -making authority. <br />• Grant Motorola Support access in the License Plate Recognition Technology program <br />• Validate non -disclosure agreements, approvals, and other related items are complete (if applicable). <br />• Provide all documentation (i.e. fingerprints, background checks, card keys, etc.) required for Motorola <br />resources to gain access to Customer facilities. <br />Motorola Deliverables <br />• Project Kickoff Meeting Minutes <br />• Deployment Checklist <br />Any sales transaction following Motorola's quote is based on and subject to the terms and conditions of the valid and executed written contract between Customer and Motorola (the <br />""Underlying Agreement"") that authorizes Customer to purchase equipment and/or services or license software (collectively ""Products""). If no Underlying Agreement exists between <br />Motorola and Customer, then Motorola's Standard Terms of Use and Motorola's Standard Terms and Conditions of Sales and Supply shall govern the purchase of the Products. <br />Page 16 <br />
