CONTRACTOR shall operate continuously throughout the term of this <br /> <br /> 2 Agreement with the number and type of staff described and as required for <br /> 3 provision of services hereunder pursuant to the personnel disclosure <br /> <br /> 4 provisions of this Agreement. <br /> 5 5.2 Subject to thirty (30) days written notice, ADMINISTRATOR may, in <br /> <br /> 6 his or her sole discretion, require changes in staffing allocations to reflect <br /> 7 current workload demands or service needs as long as COUNTY's maximum <br /> <br /> 8 obligation as set forth in this Agreement is not exceeded. <br /> 9 5.3 Upon the request of ADMINISTRATOR, CONTRACTOR shall send <br /> <br /> lO appropriate staff to attend an orientation session and subsequent training <br /> <br /> 11 sessions given by COUNTY, <br /> 12 6. LICENSES AND STANDARDS <br /> <br /> 13 6.1 CONTRACTOR warrants that it has all necessary licenses and permits <br /> 14 required by the laws of the United States, State of California, County of <br /> <br /> 15 Orange, and all other appropriate governmental agencies, and agrees to <br /> I <br /> 16 maintain these licenses and permits in effect for the duration of this <br /> 17 Agreement. Further, CONTRACTOR warrants that its employees shall conduct <br /> 18 themselves in compliance with such laws and licensure requirements including, <br /> <br /> 19 without limitation, compliance with laws applicable to sexual harassment and <br /> 20 ethical behavior. <br /> <br /> 21 6.2 In the performance of this Agreement, CONTRACTOR shall comply, <br /> 22 unless waived in whole or in part by ADMINISTRATOR, with all applicable <br /> <br /> 23 provisions of the California Welfare and Institutions Code (WIC); Title 45 of <br /> 24 the Code of Federal Regulations (CFR); Federal Office of Management and Budget <br /> <br /> 25 (OMB) Circulars A-21, A-122, and A-87; Title 48 CFR Section 31.2; and all <br /> I <br /> 26 applicable laws and regulations of the United States, State of California, <br /> 27 County of Orange Social Services Agency and all administrative regulations, <br /> 28 rules and policies adopted thereunder as each and all may now exist or be <br /> I <br /> <br /> (WAM0811) 8 of 40 (December 22, 2011) <br /> <br /> 20B-10 <br />
