<br /> <br /> i <br /> <br /> <br /> <br /> <br /> <br /> 1 hereafter amended. <br /> <br /> 2 6.2.1 For federally funded Agreements in the amount of $25,000 <br /> 3 or more, CONTRACTOR certifies that said Agency's officers and/or principals <br /> <br /> 4 are not debarred or suspended from federal financial assistance programs <br /> <br /> 5 and/or activities. <br /> 6 7. DELEGATION AND ASSIGNMENT/SUBCONTRACTS <br /> <br /> 7 7.1 Delegation and Assignment: <br /> 8 CONTRACTOR shall neither delegate its duties or obligations nor <br /> <br /> 9 assign its rights with respect to this Agreement, either in whole or in part. <br /> 10 Any such attempted delegation or assignment shall be void. The transfer of <br /> ! I <br /> assets in excess of ten percent of the total assets of CONTRACTOR, or any <br /> (10) 12 change in the corporate structure, the governing body, or the management of <br /> <br /> 13 CONTRACTOR, which occurs as a result of such transfer, shall be deemed an <br /> 14 assignment of benefits under the terms of this Agreement and shall be void. <br /> <br /> 15 7.2 Subcontracts: <br /> 16 CONTRACTOR shall not subcontract for services under this Agreement <br /> <br /> 17 without the prior written consent of ADMINISTRATOR. If ADMINISTRATOR consents <br /> i <br /> 18 in writing to a subcontract, in no event shall the subcontract alter, in any <br /> 19 way, any legal responsibility of CONTRACTOR to COUNTY. All subcontracts must <br /> 20 be in writing and copies of same shall be provided to ADMINISTRATOR. <br /> <br /> 21 CONTRACTOR shall include in each subcontract any provision ADMINISTRATOR may f <br /> i <br /> 22 require. <br /> 23 7.2.1 Subcontracts of $25,000 or less: <br /> 24 CONTRACTOR shall develop a standard form Purchase Order, <br /> <br /> 25 subject to prior written approval of ADMINISTRATOR, to be utilized for the <br /> 26 purchase of services by CONTRACTOR when the cumulative total cost of the <br /> <br /> 27 services to be provided by any organization is anticipated to be twenty-five <br /> I <br /> 28 thousand dollars ($25,000) or less during the term of this Agreement.
