4. Software a Trade Secret <br />JMS is proprietary to, and a valuable trade secret of, ATIMS. The City shall maintain JMS in the <br />strictest confidence. The City will not, without ATIMS's prior written consent: <br />(a) disclose any information about the JMS, its design and performance specifications, <br />its code, and the existence of the beta test and its results to anyone other than the City's <br />employees who are performing the testing; <br />(b) copy any portion of the JMS or documentation, except to the extent necessary to <br />perform beta testing; <br />(c) reverse engineer, decompile or disassemble the JMS or any portion of it. <br />5. Security Precautions <br />The City shall take reasonable security precautions to prevent the JMS from being seen by <br />unauthorized individuals whether stored on the City's hard drive or on physical copies such as <br />CD -ROMS, diskettes or other media. <br />
