possession thereof, CITY shall not be liable to DISTRICT in any <br />way whatsoever on account thereof. <br />SECTION 3. - FEES AND AUDIT <br />A. Sewer and Drainage Fees: DISTRICT shall pay to CITY water <br />main, drainage and sewer assessment fees in the amount of <br />Fourteen Thousand Dollars, ($14,000.00), said payment to be made <br />at time of execution of this Agreement. <br />B. Operation and Maintenance Fees: During the term of this <br />Agreement, DISTRICT agrees to pay to CITY, on a quarterly basis, <br />Seven and Four- tenths percent (7.4%) of the operation and mainte- <br />nance expenses incurred by CITY and COUNTY in caring for common <br />areas of the PARK required to be maintained by CITY, but not less <br />than Ten Thousand Dollars ($10,000.00) per year, payable in equal <br />installments on January 1, April 1, July 1, and October 1, with <br />the first payment anticipated to be due July 1, 1980, or the <br />first quarter thereafter in which CITY and COUNTY incur such <br />expenses. "Common areas" for the purposes of this Agreement <br />shall mean the Centennial Park land which CITY is obligated to <br />operate and maintain. <br />C. Record Keeping: DISTRICT is hereby relieved of any responsi- <br />bility for maintaining books of account, and filing reports to <br />the CITY in the form and manner as required by paragraphs 12 and <br />13 of that certain Agreement between the City of Santa Ana and <br />the Orange County Harbors, Beaches and Parks District, dated <br />January 14, 1976, as amended (said Agreement is on file in the <br />office of CITY °S Clerk of the Council), for the mutual develop- <br />ment of the PARK. <br />5 <br />
