OC Streetcar Design Cooperative Agreement <br />March 15, 2016 <br />Page 2 <br />General <br />• The Agreement reimburses the City for allowable design expenditures incurred since <br />execution of the Memorandum of Understanding on August 31, 2015, through design <br />completion. <br />• OCTA shall lead the design of the Project, whereby plans, specifications and estimates <br />are developed in preparation for construction. <br />• The Agreement outlines design assumptions related to the Project elements, including, but <br />not limited to, the following: <br />• Track <br />• Traction Power Substations <br />• Stations <br />• Utilities <br />• Traffic Signals <br />• Pavement <br />• Streetscape <br />• Maintenance and Storage Facility <br />• The City shall provide design reviews. The Agreement defines the participation <br />requirements of the OCTA and the City in the design review process, including the notice <br />period, review times and resolution of conflicting comments. <br />• The City agrees to grant OCTA rights to use the City right -of -way (ROW) for streetcar <br />purposes, as well as acquire or lease City property for three traction power substations. <br />The latter shall involve OCTA providing monetary or other considerations to the City. <br />• The City shall have one representative on the selection /evaluation committee for design <br />services, construction management, and outreach procurements. OCTA shall be <br />responsible for Project procurements. <br />• OCTA shall be responsible for all ROW acquisition activities with City assistance. City will <br />assist with eminent domain proceedings if needed and requested by OCTA. <br />• OCTA shall lead the public outreach program for the Project with input from the City. <br />• City staff will return to the Council for approval of construction, operations and right of way <br />use agreements. <br />Financial <br />• OCTA is responsible for securing and administering Project funding. <br />• Consistent with OCTA's practice on major capital projects, OCTA agrees to compensate <br />the City for their participation on the project. <br />25F -2 <br />
