Exhibit 1 <br />AGREEMENT' FOR AUTOM:AT'Eli PARKING CITATION PROCESSING <br />TI3IS AGREEMENT, made and entered into this 7th day of February, 2017 by and <br />between the Data Ticket, Inc., a California corporation (hereinafter "Contractor "), and the City <br />of Santa Arta, a charter city and municipal corporation organized and existing tinder the <br />Constitution and laws of the State of California (hereinafter "City "). <br />RECITAM <br />The City desires to retain a Contractor having special skill and knowledge in the field of processing <br />of automated parking citations and collecting on delinquent accounts, The City issued a Request <br />for Proposal for Parking Citation Prrocessing Services ( "RFP" 16 -116) in September 2016. <br />Contractor was one of the five vendors that submitted proposals for RFP 16.116 and was awarded <br />the Agreement because after evaluation of all of the proposals, Contractor was the lowest responsive <br />proposal. <br />2. Contractor represents that Contractor is licensed by the State of California to provide Automated <br />Parking Citation and Processing Services and that it is willing to provide such services and devices <br />as outlined in its proposal in response to RFP 16 -116, <br />3. In undertaking the performance of this Agreement, Contractor represents that it is lmowledgeablo in <br />its field and that arty services performed by Contractor under this Agreement will be performed in <br />compliance with suds standards as may reasonably be expected from a professional Automated <br />Parldng Citation and Processing Service firm, <br />NOW THEREFORE, in consideration of the mutual and respective promises, and <br />subject to the terms and conditions hereinafter set forth, the parties agree as follows: <br />TERMS AND CONDITIONS <br />1. TERIVI <br />The term, of this contract shall be for three (3) years. It shall commence the date of <br />City Council award and approval of all insurance and bonds, and terminate on February 6, 2020, <br />unless earlier terminated as set forth in Section 8' of this Agreement, City is bereb,y granted an <br />option to renew 'for up to two one -year extensions on the terms and conditions set forth herein. <br />Said options shall be exercised in writing at least thirty (30) days prior to the end of the Initial <br />term or any exclusion thereof. <br />2. SCOPE OF SERVICES <br />Consultant shall perform automated parking citation processing services as set forth in <br />the City's Request for Proposal for Automated Parking Citation and Processing System rand <br />Comultant's Proposal dated October 27, 2016, attached hereto as Exhibit A and the Addendurn <br />1 and 2 to Exbibit A and incorporated to this Agreement by this reference. <br />25G -3 <br />
