CITY's and <br />SLAG'S Project,Mauager shall review, approve and pay Consultant's invoices. <br />'e. CITY's Project Manager shall have final approval of Consultant's 'deliverables; provided, <br />however, that prior to approving a deliverable from the Consultant, CITY's Project Manager will <br />consult with SCAG's Project Manager. In the event that CITY or its Consultant proposes an <br />amendment to the Consultant's contract which changes the terms of Consultant's contract, with <br />CITY, including but not limited to, increases the value of the contract amount and/or modifies <br />the Scope of Work, CITY shall notify SCAG's Project Manager in writing prior to execution of <br />such amendment and provide SCAG with copy of amendment. SCAG' may propose an <br />amendment to this Agreement, if necessary, consistent with any executed amendments to the <br />Consultant .contract. <br />f. SCAG's, Project. Manager shall be notified and 'invited to: the kick-off meeting with the <br />Consultant, all steering or technical advisory committee meetings,, all 'public engagement <br />outreach events, and all City Council or Commission meetings where the Project in whole or in <br />part is being presented or discussed. <br />3. Term <br />The Term of this Agreement shall begin on the Effective Date of the Agreement -and continue until <br />December 19 2019, hereinafter referred to as the "Completion -Date," unless terminated earlier:as <br />provided herein. Time is of the essence in the performance of services under this MOU. <br />4. Program Management <br />a..
