6/4/03 LES <br /> <br />RESOLUTION NO. 2003-02 <br /> <br />A RESOLUTION OF THE HOUSING AUTHORITY <br />OF THE CITY OF SANTA ANA <br /> AMENDING ITS BY-LAWS <br /> <br />THE HOUSING AUTHORITY OF THE CITY OF SANTA ANA DOES ORDAIN <br />AS FOLLOWS: <br /> <br />Section 1. The Housing Authority of the City of Santa Ana hereby finds, <br />determines and declares as follows: <br /> <br /> A. Resolution 88-6, dated August 1, 1988, contains and sets forth the text <br />of the bylaws of the Housing Authority of the City of Santa Ana ("Authority"). <br /> <br /> B. The Authority desires to amend its bylaws to authorize the Executive <br />Director of the Community Development Agency to execute all legal documents <br />authorized by the Authority, to appoint the Clerk of the Council to act as the <br />Recording Secretary of the Authority, and to change the time of its regular <br />meetings. <br /> <br /> C. Pursuant to its bylaws, amendments thereto must be approved by at <br />least four of the Commissioners of the Authority at its regular meeting. <br /> <br />Section 2. Article II, Section 2 of the bylaws is amended to read as follows: <br /> <br /> "Chairman. The Chairman shall preside at all meetings of the <br />Authority. At each meeting, the Chairman shall submit such <br />recommendations and information as he/she may consider proper <br />concerning the business, affairs, and policies of the Authority. The <br />Executive Director of the Authority is authorized to sign all legal <br />documents on behalf of the Authority, including, but not limited to <br />contracts and deeds authorized by the Authority." <br /> <br />Section 3. Article II, Section 4 of the bylaws is amended to read as follows: <br /> <br /> "Secretary. The Clerk of the Council of the City of Santa Ana shall <br />act as the recording secretary of the Authority for the purpose of keeping <br />the minutes of the meetings of the Authority, and shall keep a record of its <br />proceedings and transactions. He/she shall record all votes, and shall <br />keep a record of the proceedings of the Authority in a journal of the <br />proceedings to be kept for such purposes. He/she shall have in safe <br />custody the seal of the Authority and shall have power to affix such seal to <br />all contracts and instruments authorized to be executed by the Authority." <br /> <br /> <br />
